Amendment to the exercise period applicable to the warrants issued by USIGH Limited

August 18, 2008, Pursuant to a warrant instrument dated 31 October 2006, USIGH Limited, a wholly owned subsidiary of USI Group Holdings AG, issued 42,505 Warrants. Each Warrant may be exercised into one share of USI Group Holdings AG at a price of CHF 152.20. The Warrants must be exercised before 31 October 2008.
USIGH Limited and USI Group Holdings AG have agreed to amend the warrant instrument to extend the period during which the Warrants must be exercised so that such period expires on 31 October 2010. Save as provided above, all other provisions of the warrant instrument remain unaffected.
